Özet
Kooperatifler farklı faaliyet alanlarında kurulup çalışabilirler. Bu faaliyet alanlarından biri de yenilenebilir enerji kaynaklarından faydalanılarak enerji üretiminin gerçekleştirilmesidir. Yenilenebilir enerji üretim kooperatifleri halkın yenilenebilir enerji kaynaklarından faydalanarak enerji üretimini gerçekleştirmek amacıyla kurdukları kooperatifler olarak tanımlanabilir. Kooperatiflerin Kuruluş ve Anasözleşme Değişiklik İşlemleri ile Kurucu Ortak Sayıları ve Çalışma Bölgelerinin Belirlenmesi Hakkında Tebliğ m.12/1 uyarınca kurucuların, aynı dağıtım bölgesi ve aynı tarife grubunda yer alan elektrik tüketim aboneleri olması gerekir. Elektrik Piyasasında Lisansız Elektrik Üretim Yönetmeliği m.29/1’de ise tüketim birleştirme yolu ile yönetmelik kapsamında üretim tesisi veya tesislerinin kurulması elektrik enerjisi tüketimlerinin tek bir sayaç ile ölçülebilme şartına bağlanmıştır. Bu hükümlere paralel bir hüküm Ticaret Bakanlığı tarafından hazırlanan Yenilenebilir Enerji Üretim Kooperatifleri Örnek Anasözleşmesi m.10’da düzenlenmiş ve anılan şartlar ortak olma koşulu olarak ele alınmıştır. Çalışmada yenilenebilir enerji üretim kooperatiflerinde ortaklık payının devri incelenerek, Tebliğ ve Bakanlık tarafından hazırlanan örnek anasözleşmede aranan koşulların uygulanmasının meydana getirdiği sorunlar ve çözüm olanakları değerlendirilmiştir.
Cooperatives can be established and operate in various fields of activity. One of these areas of activity is the production of energy using renewable energy sources. In this context, renewable energy production cooperatives can be defined as cooperatives established by the public to produce energy by utilizing renewable energy sources. The founders of renewable energy production cooperatives must be electricity consumption subscribers located in the same distribution area and tariff group, in accordance with Article 12/1 of the Regulation on the Establishment and Amendment of Articles of Association of Cooperatives and the Determination of the Number of Founding Members and Areas of Operation. Article 29/1 of the Regulation on Unlicensed Electricity Generation in the Electricity Market stipulates that the establishment of a production facility or facilities under the regulation through consumption aggregation is conditional upon the electricity energy consumption being measured with a single meter. A parallel provision is included in Article 10 of the Model Articles of Association for Renewable Energy Production Cooperatives prepared by the Ministry of Trade, and these conditions are considered as requirements for membership. This study examines the transfer of membership shares in renewable energy production cooperatives, investigating the problems arising from the application of the conditions stipulated in the Communiqué and the sample articles of association prepared by the Ministry, and exploring possible solutions.
